Scout User Agreement

1. Who we are and what this agreement covers

Scout is operated by Daria Tkacheva ("Scout," "we," "us," "our"), a sole trader based in the United Kingdom. This User Agreement ("Agreement") governs your access to and use of the Scout website, application, and related services (together, the "Service"), available at scout360.me and its subdomains.

By creating an account, setting up a feedback project, submitting feedback, or otherwise using the Service, you agree to this Agreement. If you do not agree, please do not use the Service.

This Agreement applies to both:

  • Personal mode — where you use Scout to gather 360° feedback for your own development goals; and
  • Team mode — where an organisation or its representative uses Scout to run feedback processes involving employees or team members.

Our separate Privacy & Data Policy explains how we handle personal data and forms part of this Agreement by reference.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use Scout. By using the Service, you confirm that you meet this requirement.

3. Accounts

  • You're responsible for keeping your login credentials secure and for all activity that happens under your account.
  • You must provide accurate information when setting up an account or project.
  • You must tell us promptly if you suspect unauthorised use of your account.
  • We may suspend or terminate accounts that violate this Agreement.

4. How the Service works

Scout helps you design and run personal feedback projects ("Missions"). This typically involves:

  • Defining a goal or area you want feedback on;
  • Scout generating a set of feedback questions tailored to that goal;
  • Inviting other people ("Contributors") to answer those questions anonymously;
  • Completing your own self-reflection; and
  • Reviewing aggregated feedback in a conversation with Scout's AI coach, which may suggest behavioural changes or experiments.

Scout does not guarantee any particular outcome, insight, or behavioural result. The feedback and suggestions Scout surfaces are intended to support your own reflection and judgment, not to replace it.

5. AI-generated content

Scout uses artificial intelligence to help generate feedback questions and to support conversations about feedback themes. You understand and agree that:

  • AI-generated content may be incomplete, generalised, or occasionally inaccurate;
  • Scout's AI coaching is not professional coaching, therapy, counselling, psychological treatment, HR advice, or legal advice, and should not be relied on as a substitute for any of these;
  • You are responsible for exercising your own judgment about how to act on any feedback or suggestions;
  • Consistent with our Privacy & Data Policy, your identifying personal information is not sent to or processed by AI models — only anonymised, aggregated feedback content is.

6. Inviting Contributors

If you invite other people to give you feedback:

  • You're responsible for obtaining any consent needed to invite them and for the accuracy of any contact details you provide;
  • Contributors participate voluntarily and their responses are treated as anonymous within your project, in line with our Privacy & Data Policy;
  • You agree not to attempt to identify which Contributor gave which specific piece of feedback, and not to use the Service in a way designed to unmask anonymous responses;
  • You will not use the Service to harass, pressure, retaliate against, or take adverse action against anyone based on the feedback they may or may not have given.

7. Team mode — additional terms

If you or your organisation uses Scout's Team mode:

  • The organisation is responsible for ensuring it has a lawful basis to process employee or team member data through the Service, and for informing employees about how the process works;
  • Scout's outputs are decision-support tools only and must not be treated as the sole or determinative basis for employment decisions (e.g. promotion, discipline, dismissal, performance ratings);
  • Where an organisation is the account holder and its members are Contributors or feedback subjects, the organisation is responsible for its own compliance with employment law and internal policy, separate from Scout's role as service provider;
  • Team mode is currently intended for evaluation and small-scale use. A formal Data Processing Agreement will be made available before this mode is offered for production-scale employee data processing, and organisations should not use it for large-scale employee data handling until a DPA is in place.

8. Your content

"Your Content" means the goals, self-reflections, and any other material you submit to Scout, and (in aggregated/anonymised form) the feedback Contributors submit about you.

  • You retain ownership of Your Content.
  • You grant Scout a licence to use, store, process, and aggregate Your Content solely to operate, maintain, and improve the Service, including limited review of anonymised content by occupational psychologists for quality assurance, as described in our Privacy & Data Policy.
  • You're responsible for making sure Your Content doesn't infringe anyone else's rights and doesn't include material that's unlawful, defamatory, or abusive.

9. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of this Agreement;
  • Attempt to reverse-engineer, scrape, or interfere with the Service or its underlying systems;
  • Use the Service to harass, threaten, defame, or discriminate against any person;
  • Impersonate another person or misrepresent your affiliation with any organisation;
  • Attempt to circumvent the anonymity protections built into the feedback process.

We may suspend or terminate access for any breach of this section.

10. Intellectual property

Scout's name, logo, software, and underlying technology are owned by Daria Tkacheva or its licensors. Nothing in this Agreement transfers ownership of that IP to you. You may not copy, modify, or distribute any part of the Service outside of your permitted personal or organisational use.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law:

  • We do not warrant that the Service will be uninterrupted, error-free, or secure;
  • We do not warrant the accuracy, completeness, or usefulness of any feedback, AI-generated content, or suggested behavioural changes;
  • Scout is not a substitute for professional medical, psychological, legal, or employment advice, and nothing in the Service should be relied upon as such.

12. Limitation of liability

To the maximum extent permitted by law, Daria Tkacheva will not be liable for any indirect, incidental, special, or consequential losses, or for loss of profits, data, or goodwill, arising from your use of the Service.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

13. Data deletion and your rights

You can ask us to delete your personal data at any time by contacting contact@scout360.me. Full detail on your data rights is set out in our Privacy & Data Policy.

14. Changes to the Service or this Agreement

We may update the Service or this Agreement from time to time as Scout develops. We'll update the "Last updated" date above when we do. If changes are material, we'll make reasonable efforts to notify you (for example, by email or an in-app notice).

15. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach this Agreement, or where necessary to protect the Service, other users, or ourselves.

16. Governing law

This Agreement is governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
